Tamarack and Headwater announce $10-billion Alberta oil merger

Tamarack Valley Energy and Headwater Exploration have agreed to a $10-billion all-stock combination that would create the largest producer operating in Alberta’s Clearwater heavy-oil region. The Calgary-based companies said Tuesday that the transaction would establish the only publicly traded producer focused exclusively on the Clearwater formation, consolidating two substantial land and production positions during another period of expansion and consolidation in the Canadian energy sector.

Headwater shareholders would receive one Tamarack common share for every Headwater share they hold. Existing Tamarack investors would own approximately 66.5% of the combined company, with Headwater investors holding the remaining 33.5%. The merged producer is expected to have more than 1,500 sections of contiguous land and run-rate Clearwater production exceeding 80,000 barrels of oil equivalent per day across Marten Hills, Nipisi, Pelican, Seal and other northern Alberta properties.

Tamarack estimates the combination could generate more than $50 million in annual operating and capital savings and plans to increase its quarterly dividend by 20% after closing. Certain non-core exploration properties would be transferred into a separately managed company called Tributary Exploration, allowing shareholders to retain exposure to those assets. The merger remains subject to shareholder, court, Competition Act and Toronto Stock Exchange approvals, with the companies targeting completion during the fourth quarter of 2026.
